1. What Ledgaa is

Ledgaa is a business record-keeping tool that lets you record sales, expenses, customer payments and stock movements by chatting in plain language. It turns your words into structured records, provides summaries and insights about your business, and can generate a shareable business profile for lenders, buyers or partners.

Ledgaa is operated by House of Udu Tech Limited.

2. What Ledgaa is not

Ledgaa is not an accountant, auditor, tax adviser, financial adviser or legal adviser. It does not verify, audit or guarantee the accuracy of any information you enter. The records, summaries, insights and shareable profiles it produces are based entirely on what you tell it. They reflect your own entries, not independently verified facts.

If you need professional accounting, tax, legal or financial advice, consult a qualified professional. Ledgaa does not replace that relationship.

3. Your account

You must provide accurate information when creating your account. You are responsible for keeping your password confidential and for all activity that happens under your account. If you believe your account has been compromised, contact us immediately at hello@ledgaa.com.

Each account is for one business. If you operate multiple businesses, each needs its own Ledgaa account.

4. Your data and records

Your business data belongs to you. You enter it, you confirm it, and you can export or delete it at any time. Ledgaa does not claim ownership of your records.

You are responsible for the accuracy of the information you enter. Ledgaa records what you tell it and confirms it back to you before recording, but the final responsibility for accuracy rests with you.

5. Shareable business profiles

Ledgaa can generate a shareable business profile covering a period you choose. This profile shows revenue, expenses, profit, receivables ageing, top items and transaction count. Customer names are never included.

The profile states plainly that it is generated from records the business owner entered and confirmed themselves. It is not an audit. Sending it to a lender, buyer or partner does not constitute an endorsement, guarantee or verified financial statement.

You control who sees the profile by creating a time-limited, revocable link. You can revoke the link at any time. Ledgaa is not responsible for what a third party does with the information once they have viewed it.

6. Plans and payments

Ledgaa offers a Free plan and paid plans (Basic and Premium). The Free plan has a daily transaction limit and limited history. Paid plans remove the daily limit and provide full history and additional features.

Paid plans are billed monthly. You can cancel at any time and return to the Free plan. There is no refund for partial months.

Payments are processed by Paystack or Flutterwave. We do not store your card details. Offline payments by bank transfer or cash are reviewed and activated by our team, usually within one business day.

7. Acceptable use

You agree not to:

• Use Ledgaa for any unlawful purpose.
• Attempt to access other users' accounts or data.
• Attempt to circumvent the service's security or rate limits.
• Use automated tools to interact with the service in ways not intended by its design.
• Enter false or fraudulent information with the intent to deceive.

8. Availability and uptime

We aim to keep Ledgaa available at all times, but we do not guarantee uninterrupted access. The service may be temporarily unavailable for maintenance, updates or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

9. Limitation of liability

To the maximum extent permitted by law, Ledgaa and House of Udu Tech Limited are not liable for any indirect, incidental, special or consequential damages arising from your use of the service, including but not limited to loss of profits, data, business opportunities or goodwill.

Ledgaa's total liability for any claim arising from or related to the service shall not exceed the amount you paid for the service in the 12 months before the claim.

10. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email or through a notice in the application at least 14 days before the changes take effect. Your continued use of Ledgaa after the changes take effect means you accept the updated terms.

11. Termination

You may close your account at any time by contacting us at hello@ledgaa.com. When you close your account, your data is removed from our active systems within 30 days.

We may suspend or terminate your account if you violate these terms, with reasonable notice where possible.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of competent jurisdiction in Nigeria.
